1. Description of Product
1.1 What the Product Is
The Product is a digital methodology and educational offering designed to teach a repeatable framework for identifying candidates for automation, documenting them, building them, and iteratively refining them. The Product consists of (a) a proprietary guide to that methodology (the “Methodology Guide”); (b) a set of written instruction files, each of which guides one stage of the methodology (each, a “Coach”), which you install into Claude yourself; and (c) the supporting written materials, reference documents, worked examples, and diagrams delivered with them (together with the Methodology Guide and the Coaches, the “Product Materials”). The Coaches are designed for use with Claude, a large language model product offered by Anthropic, in the Claude interfaces that support them. The Product is delivered exclusively in digital form, and access is granted immediately upon completion of purchase.
1.2 What the Product Is Not
The Product is not a library of pre-built, done-for-you, or off-the-shelf automations or prompts. The Product does not build, run, host, or operate anything on your behalf. Working through the methodology, you may create an automation, workflow, or similar artifact (each, a “Skill”). The Coaches produce only starting points, including an initial, unrefined version of a Skill (an “Initial Output”), which you must independently test, validate, and refine before relying on it or deploying it. Anything a Skill produces, causes, or facilitates when you run it is “Output.” We make no representation or warranty, express or implied, that any Skill you develop using the Product will operate as intended, or that any Initial Output or Output will be accurate, complete, or fit for any purpose.
2. License
2.1 License Grant
Subject to your compliance with these Terms and the License Cap (as defined below), we grant you a non-exclusive, non-transferable and non-sublicensable right and license for use of the Product by a single, named user (an “Individual License”), solely for personal or internal business purposes. You pay once; this is not a subscription, and your license does not expire. Your receipt from Gumroad.com, the third-party platform through which the Product is sold (“Gumroad”), together with the license key Gumroad generates at the time of purchase, constitutes your record of purchase and evidence of your license; no additional documentation is required. Product files carry a static license notice identifying the original purchaser, and the removal or alteration of that notice does not modify, waive, or otherwise affect the license granted under these Terms.
Each Individual License must be purchased separately through Gumroad. You may not purchase or use more than twenty-five (25) Individual Licenses through Gumroad (the “License Cap”) on behalf of yourself or any business entity or other organization. Any business entity or organization requiring licenses in excess of the License Cap must enter into a separate written agreement with us, which may be initiated at byostack.ai/scale.
2.2 Restrictions and Prohibitions
Except as expressly permitted in these Terms, you may not, and may not permit any third party to: (a) copy, reproduce, duplicate, or replicate the Product Materials, in whole or in part; (b) resell, redistribute, publish, display, or otherwise make the Product Materials or your license key available to any third party, whether alone or as a component of your product or service; (c) share, lend, rent, lease, or transfer your license, license key, or access credentials to any other person or entity; (d) sublicense, assign, or otherwise transfer any rights granted under these Terms; (e) remove, alter, or obscure any proprietary notices, watermarks, or license identifiers in the Product Materials; (f) use the Product Materials to develop a competing product or service; or (g) use the Product in any manner that violates applicable law or these Terms.
Neither your Individual License nor any additional Individual Licenses you acquire authorizes you to: (i) embed, incorporate, or otherwise use the methodology within a product or service that you or your organization offers commercially, or (ii) permit a third party to use the methodology to deliver services to that third party’s own clients or customers. Any arrangement of the type described in this paragraph (a “Commercial Distribution Arrangement”) is available only pursuant to a separate written agreement with us and may be initiated at byostack.ai/scale.
3. Your Responsibility for Skills and Output
As between you and us, you own any Skill you create using the Product, but that ownership comes with full responsibility. You are solely responsible for any use you make of a Skill, any Initial Output, and any Output, whether or not you refine an Initial Output into a finished Skill. This includes responsibility for everything a Skill, Initial Output, or Output does or facilitates, including sending messages, modifying files, updating software systems, or taking any other automated action. Before deploying any Skill or relying on any Initial Output or Output, you must maintain human oversight, confirm each action the Skill will take, and independently review all Output. This is especially important when a Skill touches clients, contracts, financial data, or other material business matters. We disclaim all liability arising from Skills you develop and from any use of Initial Output or Output; you assume that risk entirely.
4. Eligibility
You represent that you are at least eighteen (18) years old (or the age of majority in your jurisdiction, if higher) and have the legal capacity to agree to these Terms. Because the Product requires Claude, you also represent that you meet Anthropic’s eligibility requirements for using Claude. You are responsible for confirming your continued eligibility. You further represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. trade sanctions or embargoes, and that you are not on any U.S. government restricted party list. You agree not to access, download, use, or export the Product in violation of U.S. export laws or regulations, or any other applicable export or import laws. If you do not meet these requirements, do not purchase or use the Product.
5. Privacy Policy
Our Privacy Policy, available at https://byostack.ai/privacy/, describes how we collect, use, and disclose information in connection with the Product. By accepting these Terms, you also agree to the Privacy Policy, which is incorporated here by reference.
6. Disclaimers
6.1 No Professional Advice
The Product is for educational purposes only. It is not legal, financial, tax, medical, or other professional advice. You are responsible for your own decisions and for complying with all applicable laws, regulations, and third-party terms.
6.2 As Is; No Warranties
The Product is provided “as is” and “as available,” without warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, whether, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
6.3 AI-Generated Content
The Coaches use third-party AI. Any Initial Output is machine-generated, and any Output produced by a Skill you build may be machine-generated. AI output can be inaccurate, incomplete, outdated, biased, or inconsistent across sessions. We make no warranty regarding the accuracy, reliability, or suitability of any Initial Output, any Output, or the performance of any Skill. You must independently review, test, and validate all Initial Output and Output before relying on it.
6.4 No Guarantee of Intellectual Property Rights in Output
The legal status of AI-generated works is unsettled and varies by jurisdiction. We make no warranty that any Skill or Initial Output or Output qualifies for copyright, patent, trade secret, or other IP protection, that you will be able to obtain or enforce exclusive rights in it, or that it does not infringe third-party rights. You are solely responsible for evaluating the IP status of any Skill, securing any protection you want, and ensuring that you have all necessary rights and any necessary third-party consents before use.
6.5 No Guarantee of Particular Results
Your results depend on factors outside our control, including your experience, your technical skill, the quality and completeness of the information you supply, the workflows you choose, and how faithfully you apply the methodology. The Product requires substantial effort from you. It is not a shortcut, and it does not supply judgment on your behalf. The methodology is designed to elicit and document your own judgment, and the quality of any Skill you produce depends on the quality of the judgment you bring to it. We do not guarantee any particular outcome, result, revenue, cost saving, time saving, or other benefit, and we make no representation that any workflow you select is a suitable candidate for automation or that you will complete the methodology. Any examples, worked examples, testimonials, or results described in the Product or on our website are illustrative only, reflect the specific circumstances of those cases, and are not typical or guaranteed. Individual results vary. The Product is a tool and an educational framework; your success depends on your own efforts and circumstances.
7. Third-Party Platforms
7.1 Purchase of the Product via Gumroad
The Product is sold exclusively through Gumroad. When you buy the Product, you are redirected from byostack.ai to Gumroad to complete the transaction. Gumroad acts as merchant of record: it receives, processes, and stores your payment information. We do not have access to your payment card or billing details. Your purchase of the Product is subject to Gumroad’s terms, as amended from time to time, in addition to these Terms, which you must separately accept.
7.2 Use of the Product via Claude
The Product is designed for use with Claude. You will need a paid Claude subscription from Anthropic to use the Coaches; that subscription is not included in your purchase and is billed separately by Anthropic.
7.3 Third-Party Terms
We do not control the availability, performance, pricing, security, or terms of Claude, Gumroad, or any other third-party platform (collectively, “Third-Party Platforms”). Your use of those platforms is governed by their own terms, separate from these Terms. We make no representations or warranties with respect to any Third-Party Platform, and we will have no liability to you in connection with your use of any Third-Party Platform. Changes to Third-Party Platforms do not entitle you to a refund, other than as expressly described in the policy in Section 8.
8. Refunds
The Product is a digital good delivered in full immediately upon purchase, and we do not offer refunds on request. We offer instead the fourteen (14) day money-back guarantee described in this Section (the “Guarantee”), which applies if the method fails you. This is a do-the-work guarantee. It guarantees the methodology: if you apply the methodology and it does not work for you, we refund you.
8.1 The Guarantee
If you complete the qualifying work described in Section 8.2 and are unable to create a Skill that you use in your own work, we will refund the full purchase price upon a request made in accordance with Section 8.3. Whether you have a Skill you use is your own assessment. We will not ask you to justify it, prove it, or submit the Skill for review, except as required under Section 8.3.
8.2 Qualifying Work
To qualify for the Guarantee, you must have (a) installed all four Coaches — Compile, Analyze, Strategize, and Execute — in accordance with the setup instructions included in the Product Materials, and (b) taken one workflow that you perform in your own work through all four stages of the methodology, using each of the four Coaches in sequence.
The methodology includes a decision gate that a candidate workflow may legitimately fail, indicating that the workflow is not a suitable candidate for automation. A workflow that fails that gate has been run through the methodology, and no request will be refused on that basis. Because a workflow that fails the gate does not proceed to the later stages, you may satisfy clause (b) either by selecting another workflow and carrying that workflow through all four stages, or by using the override documented in the Product Materials to carry the same workflow forward.
8.3 Requesting a Refund
Email support@byostack.ai within fourteen (14) days of purchase, state that you are requesting a refund under this Section and include (a) your Gumroad receipt or order number, and (b) screenshots showing your four Coach Projects in Claude and at least one working session inside each of them. You may redact any confidential, personal, or client information from the screenshots; we need only to see which Coach each screenshot came from and that a session took place in each.
The qualifying work takes approximately seven (7) days, and the Product is delivered in full immediately upon purchase, so we recommend that you begin in your first week.
We verify only that a purchase record matches your request, that the required screenshots are present, and that your request is timely. In submitting a request, you confirm that the screenshots are your own, unaltered, and taken from your own use of the Product.
8.4 Processing and Effect of Refunds
Approved refunds are processed through Gumroad to your original payment method. Upon issuance of a refund, the license granted in Section 2.1 terminates, and you must cease using and delete all copies of the Product Materials in your possession, including any Coach you installed in Claude. One refund is available per purchase.
8.5 If the Guarantee Does Not Apply
If you did not complete the qualifying work, or your request is submitted outside the applicable window, we are not obligated to issue a refund, although we may elect to do so in our sole discretion; any such election is made on its own facts and creates no entitlement in any other case. In either case, we ask one thing, and it is not a condition: tell us briefly what you expected and did not find, so the description gets better for the next buyer.
8.6 Statutory Rights
Nothing in this Section limits any refund, withdrawal, or cancellation right you have under applicable law that cannot be waived, and none of the conditions, evidence requirements, or time limits in this Section apply to the exercise of any such right.
9. Limitation of Liability
To the fullest extent permitted by law, our total AGGREGATE liability for any claims arising from OR IN CONNECTION WITH the Product or these Terms is limited to the amount you paid for the Product. We will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost data, business interruption, or any loss arising from actions taken OR OMISSIONS ARISING FROM A SKILL YOU DEVELOP, OR FROM ANY INITIAL OUTPUT OR OUTPUT. tHE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF WHETHER: (a) WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; (b) A CLAIM IS BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE; OR (c) ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
10. Indemnification
You agree to indemnify, defend, and hold harmless BYOStack and its owners, officers, employees, and agents from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from, relating to, or in connection with, your use of the Product, any Skill you develop, or your breach of these Terms or any applicable law or third-party right.
11. Intellectual Property
Subject only to the express license granted herein, we retain all right, title and interest in the Product, the Methodology Guide, the Coaches, all related materials, and all intellectual property rights therein. As between us and you, you own any Skill you create using the methodology and may deploy, modify, share, or sell it. Your ownership of a Skill does not extend to the underlying Product Materials, which remain subject to Section 2.2.
12. Updates to the Product
We may update the Product from time to time. We have no obligation to provide updates to any prior purchase, though we may elect to do so at our sole discretion, and in such event any such updates shall be deemed to be included in the Product and subject to these Terms.
13. Governing Law
These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-laws principles. Any action or proceeding arising out of or relating to these Terms or the Product shall be brought exclusively in the state or federal courts located in Alabama, and you irrevocably and unconditionally consent to the personal jurisdiction of such courts. YOU HEREBY IRREVOCABLY AND UNCONDITIONALLY: (A) CONSENT AND SUBMIT TO THE EXCLUSIVE JURISDICTION OF THE AFOREMENTIONED COURTS; (B) WAIVE ANY OBJECTION TO THAT CHOICE OF FORUM BASED ON VENUE OR TO THE EFFECT THAT THE FORUM IS NOT CONVENIENT; (C) WAIVE PERSONAL SERVICE OF ANY SUMMONS, COMPLAINT, OR OTHER PROCESS, WHICH MAY BE MADE BY ANY OTHER MEANS PERMITTED BY LAW; AND (D) WAIVE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT TO A TRIAL BY JURY IN ANY LEGAL ACTION, PROCEEDING, CAUSE OF ACTION, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PRODUCT. YOU CERTIFY AND ACKNOWLEDGE THAT YOU HAVE CONSIDERED THE IMPLICATIONS OF THESE WAIVERS AND MAKE THEM KNOWINGLY AND VOLUNTARILY.
14. Severability
The invalidity, illegality, or unenforceability of any provision herein does not affect any other provision herein or the validity, legality, or enforceability of such provision in any other jurisdiction.
15. Waiver
No waiver of any right or remedy under these Terms by us is effective unless contained in a writing signed by us. Our failure to exercise, or delay in exercising, any right or remedy hereunder shall not operate as a waiver thereof. No single or partial exercise of any right or remedy by us precludes any other or further exercise thereof or the exercise of any other right or remedy. Our rights and remedies under these Terms are cumulative and are in addition to any other rights and remedies available at law, in equity or otherwise.
16. Assignment
You may not assign or transfer, or delegate any of your rights or obligations under these Terms, without our prior written consent. Any purported assignment or delegation in violation of this Section shall be null and void. These Terms are binding upon and inure to the benefit of you and us, and our respective successors and permitted assigns.
17. Changes to These Terms
We may revise these Terms from time to time. The version in effect at the time of your purchase governs that purchase.
18. Notice
You will deliver all communications in connection with these Terms to: support@byostack.ai.
19. Entire Agreement
These Terms contain the entire agreement between us with respect to the subject matter hereof and supersede all prior and contemporaneous written or oral understandings, agreements, representations, and warranties with respect to such subject matter.
20. Survival
Sections 2.2, 3, 4, 6, 8, 9, 10, 11, 13 and this Section 20, as well as any other provision that, in order to give proper effect to its intent, should survive the termination or expiration of these Terms, will survive such termination or expiration.
